A foreign company or a domestic company may wish to establish with a foreign investor a foreign-invested company in the form of a joint venture or convert an existing company into a foreign-invested company. In this case, the Joint Venture Practice Group provides legal advice for determining the most advantageous company structure for the new company under regulations such as the Tax Act, the Corporate Act and the Fair Trade Act. The Practice Group also negotiates and executes contracts related to joint venture business or management, obtains the required approvals or licenses, negotiates technical license agreements subsequent to the foreign investment, and provides other services related to incorporation, capital increase and dispute resolution with foreign investors.
